qoliber Partner Program Terms & Conditions (Structured Version)
§1. Company Information
- The Partner Program is operated by FIERO GROUP Sp. z o.o., with its registered office at Głogowska 31/33, 60-702 Poznań, Poland.
- Registered in the National Court Register (KRS) under number 0000526372, NIP: 7792423813, REGON: 302783250.
§2. Definitions
- Partner – A development agency with an active account on partners.qoliber.com.
- Merchant – The Partner’s end client.
- Partner Package – A paid package of services, licenses, and support valid for 12 months.
- License – The right to use the software on one Magento instance.
- Magento Instance – A single, active Magento deployment on a specific production environment.
- Partner Panel – The Partner’s online account used for service and license management.
- GitLab / Slack – Official communication and support channels.
§3. Program Enrollment
- Enrollment occurs by sending an email to: [email protected].
- Once approved, the Partner receives an invoice via email. Upon payment, access credentials, license keys and Composer repository links for modules are sent to the Partner via email.
§4. Scope of the License
- Each license is tied to one Magento instance.
- After expiration, the license remains active but without access to updates.
- Renewal requires payment of missed periods.
- The Partner may assign the license to a Merchant and settle the cost internally.
- Public or mass resale is prohibited without written consent from qoliber.
§5. Restrictions
- Copying, distribution, sublicensing, and unauthorized modifications are strictly prohibited.
§6. Technical Support
- Support is provided through GitLab and Slack.
- qoliber commits to reacting without undue delay.
- Support does not include third-party extensions or non-standard implementations.
§7. Returns and Complaints
- A refund can be requested within 30 days of package purchase.
- A refund revokes access to the license, GitLab, and Slack.
§8. License Audits
- qoliber reserves the right to audit how licenses are used.
- The Partner must cooperate and resolve any violations.
§9. Termination
- The agreement ends automatically after 12 months if not renewed.
- Early termination is possible only upon mutual agreement and a submitted request.
- Termination must be in written form.
§10. Confidentiality
- The Partner agrees to keep all received technical and business information confidential.
§11. Force Majeure
- Neither party is liable for delays or failures caused by events beyond their control.
§12. Amendments
- Terms may change for future software versions.
- The Partner will be notified via email.
- Downloading updates implies acceptance of the updated terms.
§13. Governing Law
- Polish law applies.
- Disputes will be settled by the court competent for qoliber's registered office.
