Nebula Community License (NCL) v1.0¶
Source Available License
Copyright (c) 2026 Nebula Contributors
1. Definitions¶
- “Software” refers to the Nebula Magento Admin Theme, including all source code, assets, stylesheets, templates, JavaScript, configuration, documentation, UI components, layouts, and related files distributed under this License.
- “Authors” refers to the original creators and copyright holders of the Software.
- “Commercial Product” means any product, service, platform, extension, theme, SaaS offering, marketplace package, distribution, hosting solution, monetized offering, or software distribution that is sold, sublicensed, licensed, leased, commercially distributed, or monetized for third parties.
- “Derivative Work” means any modification, adaptation, customization, fork, extension, enhancement, redesign, or work based on all or part of the Software.
- “Internal Use” means use of the Software solely within an organization or for client implementations as part of Magento / MageOS development services, and not for resale, redistribution, or commercialization of the Software itself.
- “Competing Product” means any commercial or monetized software product that substantially replicates, derives from, incorporates, or competes with the Software as a Magento admin theme, admin UI framework, admin product, or related commercial offering.
2. License Grant¶
Subject to the terms of this License, the Authors grant you a non-exclusive, worldwide, non-transferable, revocable license to:
- Use the Software;
- Modify the Software;
- Create Derivative Works for Internal Use;
- Use the Software in production environments;
- Use the Software for merchant stores, agency projects, and client implementations.
3. Permitted Usage¶
The Software may be used commercially for operating Magento / MageOS stores or delivering services to clients, provided that:
- the Software itself is not sold or redistributed;
- the Software is not included in a paid product offering;
- the Software is not marketed as a competing commercial solution;
- the Software is used only as part of store operations, development services, integrations, or internal administration.
Examples of permitted usage include:¶
- Running Nebula on your own Magento or MageOS store;
- Using Nebula for client store implementations;
- Customizing Nebula for internal business purposes;
- Building Magento or MageOS projects using Nebula as the administrative interface;
- Charging clients for Magento development, consulting, implementation, support, hosting, or integration services that utilize Nebula internally.
Clarification of Permitted Commercial Use¶
For the avoidance of doubt, this License permits commercial usage of Magento or MageOS stores that use Nebula internally.
Restrictions apply only to commercialization, resale, redistribution, sublicensing, or monetization of the Software itself or products substantially derived from the Software.
4. Restricted Activities¶
Without prior written permission from the Authors, you may NOT:
4.1 Resell the Software¶
Sell, sublicense, lease, monetize, commercially redistribute, or otherwise profit directly from the Software or any Derivative Work substantially based on the Software.
4.2 Use Nebula in Commercial Products¶
Use, embed, bundle, integrate, adapt, copy, or incorporate the Software — including individual components, source code, styles, layouts, UI elements, templates, JavaScript, design patterns, assets, or substantial portions thereof — within any paid, commercial, or monetized product or service.
This restriction includes, but is not limited to:
- paid Magento themes;
- commercial admin themes;
- marketplace extensions;
- SaaS platforms;
- Magento distributions;
- reseller packages;
- white-label products;
- hosted commercial offerings;
- paid developer tools or admin frameworks based on Nebula.
4.3 Create Competing Products¶
Use the Software, or portions of the Software, to develop, distribute, market, or sell Competing Products.
4.4 Commercial Redistribution¶
Redistribute the Software through commercial ecosystems, vendor distributions, marketplaces, repositories, hosting providers, package managers, or paid platform offerings without written authorization from the Authors.
4.5 Reuse of Nebula Code in Paid Products¶
You may not copy, reuse, modify, port, adapt, or derive code or assets from the Software for use in proprietary, commercial, or monetized products without explicit written approval from the Authors.
4.6 Removal of License or Attribution¶
You may not remove, alter, obscure, or falsify copyright notices, license notices, or attribution related to the Software.
5. Distribution of Modifications¶
You may distribute modified versions of the Software only if:
- this License is included in full;
- attribution to the original Authors is retained;
- all modifications are clearly documented;
- the distribution complies with all restrictions in Section 4.
Distribution of modified versions does not grant permission for commercial redistribution, resale, sublicensing, or monetization.
Clarification of Derivative Works¶
Incidental inspiration, general ideas, interoperability code, configuration examples, or non-substantial snippets of code do not by themselves constitute a Derivative Work.
6. Source Code Availability¶
The Software source code may be publicly accessible. Public access to source code does not grant rights beyond those explicitly provided under this License.
This License is source-available and is NOT an Open Source license as defined by the Open Source Initiative (OSI).
The Authors expressly reserve all rights not explicitly granted under this License.
7. Branding and Logo Usage¶
The Nebula name, logo, and branding assets may be used for reasonable community, educational, integration, compatibility, and promotional purposes related to the Software, including:
- showing compatibility with Nebula;
- discussing or reviewing the Software;
- displaying Nebula in case studies, tutorials, videos, repositories, or integrations;
- identifying legitimate use of the Software.
You may not:
- falsely imply official partnership, endorsement, sponsorship, certification, or affiliation by the Authors;
- use the Nebula branding in misleading or deceptive ways;
- use the Nebula name or logo for Competing Products derived from the Software;
- represent modified or forked versions as the official Nebula project.
The Authors reserve the right to request removal of branding usage that is misleading, abusive, deceptive, harmful to the project, or intended to confuse users.
8. Contributions¶
Unless otherwise agreed in writing, any contribution intentionally submitted to the Software shall be licensed under this License.
Contributors grant the Authors the perpetual, worldwide right to use, modify, distribute, sublicense, and relicense such contributions as part of the Software.
9. Termination¶
Any violation of this License automatically terminates your rights under this License.
Upon termination, you must immediately cease all use, distribution, commercialization, and unauthorized modification of the Software and any unauthorized Derivative Works.
Sections relating to restrictions, trademarks, branding, disclaimers, liability, intellectual property, and enforcement shall survive termination.
10. Disclaimer of Warranty¶
THE SOFTWARE IS PROVIDED “AS IS”, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
11. Limitation of Liability¶
IN NO EVENT SHALL THE AUTHORS OR COPYRIGHT HOLDERS BE LIABLE FOR ANY CLAIM, DAMAGES, LOSSES, OR OTHER LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR IN CONNECTION WITH THE SOFTWARE OR THE USE OF THE SOFTWARE.
12. Governing Law¶
This License shall be governed by and construed in accordance with the laws applicable in the jurisdiction chosen by the Authors, without regard to conflict of law principles.
13. Acceptance¶
By using, copying, modifying, distributing, accessing, or contributing to the Software, you agree to be bound by the terms of this License.
